End User License Agreement (EULA)

This End-User License Agreement ("EULA") is between you ("Licensee," an individual or organization) and Keatley Project Management Inc., operating as PMTemplate.com ("Licensor," "we," or "us"), a Canadian company Ontario, Canada. By purchasing or using the PM Template Suite ("Product"), you agree to this EULA and our Terms of Service, Privacy Policy, and Refund Policy ("Policies") at PMTemplate Terms of Service, PMTemplate Privacy Policy, and PMTemplate Refund Policy. If you do not agree, do not purchase or use the Product.

1. Definitions

  • Product: Digital project management templates in formats like Microsoft Word, Excel, or PowerPoint.
  • License: Usage rights granted under this EULA.
  • User: An individual authorized to use the Product under a License.
  • Internal Use: Personal or organizational project management, excluding resale or public sharing.

2. License Grant and Copyright

We grant you a perpetual, non-exclusive, non-transferable, non-sublicensable, revocable License to download, customize, and use the Product for Internal Use, subject to this EULA and the Policies:

  • Individual License pricing (1 User): For personal use or a single project within your organization, limited strictly to one named User per License.
  • Multi-User License pricing: (6+ Users): For sharing within your organization, limited to the number of Users purchased (one License per User).
  • Customization: You may modify templates for Internal Use without retaining copyright notices on customized versions.
  • Copyright: © 2011-2026 Keatley Project Management Inc., PMTemplate.com. All rights reserved. The Product and its original files are protected under Canadian and international copyright laws. We may monitor usage to protect our intellectual property.

You may not resell, redistribute, or publicly share the Product or create derivative works for commercial use. The Product is licensed, not sold.

3. Pricing and Refunds

  • Pricing: $195 USD per License for 1-5 Users; $175 USD per License for 6+ Users (10% discount).
  • Payment: Processed via Shopify or our payment provider. Taxes are your responsibility.
  • Refunds: Governed by our Refund Policy. Sales are final except for defective files or as required by law (e.g., EU 14-day withdrawal waived upon download, Brazil 7-day right of regret). Contact support@pmtemplate.com.

4. Restrictions

You may not:

  • Resell, lease, or share the Product beyond licensed Users.
  • Use the Product for commercial purposes beyond Internal Use.
  • Reverse-engineer or publicly post the Product.
  • Violate laws, our TOS, or third-party rights (e.g., implying PMI® endorsement).

Violations may lead to License revocation and legal action.

5. Term and Termination

This License is perpetual unless terminated. We may terminate it for breaches (e.g., unauthorized sharing). Upon termination, you must delete all Product copies. Sections 2 (Copyright), 6 (Warranties and Liability), 7 (Governing Law), and 8 (Miscellaneous) survive termination.

6. Warranties and Liability

The Product is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement. We strive for quality but do not guarantee the Product meets specific needs or is error-free. Our liability is limited to the amount paid for the License, subject to mandatory consumer protections (e.g., EU Consumer Rights Directive, Australian Consumer Law).

7. Governing Law and Disputes

This EULA is governed by Ontario, Canada law, except where local laws apply (e.g., EU, Brazil, Australia consumer rights). Disputes will be resolved through binding arbitration in Toronto, Ontario, under Canadian Arbitration Association rules, or in Ontario courts if required. You waive class action rights where permitted.

8. Miscellaneous

  • Policies: See our TOS, Privacy Policy, and Refund Policy for additional terms, including data protection (e.g., GDPR, PIPEDA) and consumer rights.
  • Updates: We may revise this EULA; continued use constitutes acceptance. Existing Licenses are grandfathered.
  • Severability: Invalid provisions do not affect others.
