1.    Overview

This website, PMTemplate.com (the "Site"), is operated by PMTemplate.com, a division of Keatley Project Management Inc. Throughout these Terms of Service ("Terms"), “we,” “us,” and “our” refer to PMTemplate.com. We offer the Site, including all information, tools, and services available, including our suite of project management templates in Microsoft Word, Excel, and PowerPoint formats (collectively, the "Services"), conditioned upon your acceptance of these Terms, including additional policies referenced herein (e.g., Privacy Policy, Refund Policy . These Terms apply to all users, including browsers, customers, and organizations.

2.    Section 1 - Online Store Terms

By agreeing to these Terms, you represent that you are at least the age of majority in your jurisdiction or, if acting on behalf of an organization, you have authority to bind it. You may not use our Services for any illegal or unauthorized purpose or violate any laws, including copyright laws. A breach of these Terms may result in immediate termination of your access to the Services.

3.    Section 2 - General Conditions

We reserve the right to refuse service to anyone at any time for any reason. Your content (excluding payment information) may be transferred unencrypted over networks to conform to technical requirements. Payment information is always encrypted during transfer. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the Services without our express written permission.

4.    Section 3 - Accuracy, Completeness, and Timeliness of Information

Information on the Site is provided for general purposes and may not always be accurate, complete, or current. We strive to ensure product descriptions are accurate but do not warrant that they meet your expectations beyond what is described. You should verify template suitability before purchase. We are not responsible for decisions made solely based on-Site information and may update or correct content without notice, except as required by law.

5.    Section 4 - Modifications to Services and Prices

Prices for our templates are subject to change without notice. We may modify or discontinue the Services (or any part) at any time without liability. We are not liable for any modification, price change, suspension, or discontinuance of the Services.

6.    Section 5 - Products and Services

Our digital project management templates are available exclusively online and are delivered instantly upon purchase via download links. Templates are subject to our Refund Policy , which states that all sales are final except where required by law (e.g., EU’s 14-day withdrawal right, Brazil’s 7-day right of regret). We do not warrant that templates will meet your specific expectations or guarantee project outcomes, though they align with Project Management Institute (PMI) standards. You are responsible for ensuring compatibility with your software (e.g., Microsoft Office). We may limit sales to any person, region, or jurisdiction at our discretion.

7.    Section 6 - Accuracy of Billing and Account Information

You agree to provide current, complete, and accurate purchase and account information for all transactions. You must promptly update your account details (e.g., email, payment information) to ensure we can process orders and contact you. We may refuse, limit, or cancel orders at our discretion, including those suspected to be from resellers or distributors, and will attempt to notify you using the provided contact information.

8.    Section 7 - Intellectual Property and License

  • Ownership: All templates, content, and materials on the Site are owned by PMTemplate.com or our licensors and are protected by international copyright, trademark, and other intellectual property laws.
  • License: Upon purchase, you receive a limited, non-exclusive, non-transferable, non-sublicensable license to use the templates for personal or internal organizational project management purposes. You may customize templates for your projects but may not:
    • Resell, distribute, share, or reproduce templates commercially.
    • Use templates to imply endorsement by PMI or us.
    • Modify templates for public distribution or resale.
  • Enforcement: Unauthorized use violates these Terms and may result in license revocation, account termination, and legal action without refund. We may monitor downloads or use digital rights management to protect our intellectual property.

9.    Section 8 - Third-Party Links and Services

The Site is hosted on Shopify, and payments are processed by third-party providers (e.g., Stripe, PayPal). These providers have their own terms and privacy policies, which you should review. We may link to third-party sites (e.g., PMI’s website) or use their services for marketing (e.g., PMI advertising). We are not responsible for the content, accuracy, or practices of third-party sites or services.

10.  Section 9 - User Comments and Feedback

If you submit feedback, reviews, or other content (e.g., via support or public reviews), you grant us a non-exclusive, royalty-free, worldwide right to use, edit, publish, or distribute such content in any medium. We are not obligated to maintain confidentiality, pay compensation, or respond to submissions. You agree that your submissions will not violate third-party rights (e.g., copyright, privacy) or contain unlawful or harmful material. We may remove content we deem objectionable.

12.  Section 11 - Prohibited Uses

In addition to other prohibitions, you may not:

    Violation may result in immediate termination of your access.

13.  Section 12 - Disclaimer of Warranties; Limitation of Liability

The Services and templates are provided “as is” without warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted, secure, or error-free access or that templates will meet your expectations beyond their described functionality. To the fullest extent permitted by law, PMTemplate.com, our affiliates, and service providers are not liable for indirect, incidental, consequential, or punitive damages (e.g., loss of profits, data) arising from your use of the Services. Our total liability is limited to the amount you paid for the templates. These limitations are subject to mandatory consumer protections (e.g., Australia’s Consumer Law, EU’s Consumer Rights Directive).

14.  Section 13 - Indemnification

You agree to indemnify, defend, and hold harmless PMTemplate.com, our affiliates, officers, directors, agents, and service providers from any claim, including reasonable attorneys’ fees, arising from your breach of these Terms, violation of law, or infringement of third-party rights.

15.  Section 14 - Compliance with Local Laws

We comply with consumer protection laws in Canada, the US, EU, Australia, and South America:

  • EU: 14-day withdrawal right, waived upon download (per Consumer Rights Directive).
  • Australia: Templates must meet consumer guarantees under Australian Consumer Law.
  • Brazil: 7-day right of regret for online purchases (Consumer Defense Code).
  • Argentina: 10-day revocation right (Personal Data Protection Law).
  • Canada/US: No federal refund mandates, but we honor state/provincial requirements for defective products.

16.  Section 15 - Termination

These Terms are effective until terminated by you or us. You may terminate by ceasing use of the Services. We may terminate or suspend your access without notice for violating these Terms, including unauthorized template use. Upon termination, your license to use templates is revoked, and you must delete all copies. Obligations (e.g., payment, indemnification) survive termination.

17.  Section 16 - Severability

If any provision of these Terms is deemed unlawful or unenforceable, it will be severed, and the remaining provisions will remain enforceable to the fullest extent permitted by law.

18.  Section 17 - Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy , constitute the entire agreement between you and us, superseding prior agreements. Our failure to enforce any provision does not waive it.

19.  Section 18 - Governing Law and Dispute Resolution

These Terms are governed by the laws of Ontario, Canada, except where local laws (e.g., EU, Australia) mandate otherwise. Disputes will be resolved through negotiation or, if necessary, binding arbitration in Toronto, Ontario, under the rules of the Canadian Arbitration Association, unless local consumer laws require alternative venues. You waive class action rights to the extent permitted by law.

20.  Section 19 - Changes to Terms

We may update these Terms by posting revisions on the Site with an updated “Effective Date.” Your continued use constitutes acceptance. We will notify you of material changes as required by law.
